Tata Sons Chairman Chandrasekaran May Step Down Before AGM

Tata Sons chairman N Chandrasekaran is considering stepping down ahead of the group’s annual general meeting on August 18, according to reports citing people familiar with internal discussions. The move would preempt what could become a contentious shareholder vote over his reappointment.

At issue is Chandrasekaran’s status as a director of Tata Sons. His five year term as chairman runs until February 2027, but under the company’s rules, he can only continue in that role if shareholders reappoint him as a director first. The Tata Sons board deferred that decision back in February, after Noel Tata, the group’s largest individual shareholder, raised concerns about the performance of some of Tata’s newer businesses.

Chandrasekaran has been one of the most consequential figures in Indian corporate history over the past decade. He joined the Tata group in 1987, rose to chief executive of Tata Consultancy Services in 2009, and was named Tata Sons chairman in 2017, succeeding Cyrus Mistry after a bitter and public boardroom battle.

Markets reacted quickly to the reports. Most Tata group stocks traded lower on Wednesday, with declines of up to 4 percent across the conglomerate’s listed companies. TCS, the group’s largest and most profitable business, was the biggest loser, falling more than 4 percent during the session.

Neither Chandrasekaran nor Tata Sons has issued a public statement confirming plans to step down. The company has also not detailed who might succeed him if he does leave before his term formally ends.

Tata Sons sits atop a sprawling conglomerate that spans steel, automobiles, software services, hospitality and consumer goods, with combined group revenue exceeding 165 billion dollars in the last fiscal year. Any change at the top ripples across dozens of listed subsidiaries and hundreds of thousands of employees worldwide.

The August 18 AGM is now expected to draw close attention from investors and corporate governance watchers, who see the standoff as a test of how much influence Noel Tata and other family shareholders retain over the professional management Ratan Tata installed at the group’s helm. A resolution one way or another is expected within days.
